Client Terms of Use Agreement
Introduction
Qayd Platform is Qayd Solutions for Communications and Information Technology (Limited Liability Company), registered in the Kingdom of Saudi Arabia under commercial registration number 403055494. This Terms of Use Agreement, along with the Privacy Policy, constitutes the terms and conditions governing your use of Qayd platform and all the legal consequences resulting from your use of the provided services. Any use of Qayd services is considered acceptance of all the terms and conditions of this agreement, and it becomes effective as soon as you register or use Qayd platform. We may change the terms and conditions of this agreement from time to time, so we recommend that you review this agreement periodically to stay updated with any changes.
Your use of Qayd platform is conditional upon your acceptance of this Terms of Use Agreement. If you do not agree with any part of this agreement, you must stop using the platform and delete your account completely. Continuing to use the platform is your acknowledgment that you have read, understood, and accepted the terms and conditions of this agreement. Definitions
Platform/Qayd /We: Refers to Qayd Solutions for Communications and Information Technology, including all forms of the company, whether as a website or electronic application.
User/You: Refers to the person using, visiting, registering on, or requesting any service through Qayd platform, who must adhere to the terms and conditions of this agreement. Note that the term “You” may refer to more than one person.
Electronic Receipt: Refers to a digital record issued by the client through the platform, showing the status of the record, the record number, the registration date, the due amount, and the client’s information.
Client: Refers to any entity that uses the services of Qayd platform.
Consumer: Refers to any individual who purchases products or services from the client on credit and later pays through Qayd platform according to the platform’s terms and conditions.
Agreement: Refers to this Terms of Use Agreement, including the terms and conditions, the platform’s privacy policy, and any written, electronic, or oral agreements or contracts.
Laws: Refers to the applicable laws in the Kingdom of Saudi Arabia.
Services Provided
- The platform provides the client with the ability to issue electronic, documented receipts for all credit-based commercial transactions, allowing them to manage sales processes easily and securely.
- The platform offers a comprehensive digital system for managing and tracking credit transactions, which helps in collecting due amounts in an organized manner and reduces the risks of delayed or missed payments, providing clients with clear insight into their financial operations.
Terms of Client Registration on the Platform
- To register on Qayd Platform, the client must have full legal and regulatory eligibility according to the applicable laws in the Kingdom of Saudi Arabia.
- If the client is an institution or company, the institution or company must have the legal eligibility to conduct business activities.
- To register on Qayd Platform, the client must fill out the external subscription contract and have it signed by the authorized person. The subscription contract details will be sent via the registered email, and the authorized person must complete the activation process via the link sent to activate the account on the platform.
- The client must register their account on Qayd Platform using their mobile number and email address to receive any notifications sent by the platform. The platform will consider the registered email as the official communication channel and will only respond to communications from the email registered on the platform; therefore, the client should ensure the accuracy of their information on the platform.
- The client must ensure that all conditions and requirements mentioned in this agreement, as well as all the requirements outlined in the applicable regulations, are met during the period of their association with this agreement.
- If the client fails to meet any condition under this clause, the agreement will be null and void, and all legal consequences arising during its term will apply to the client.
- The client must maintain their username and password and not disclose them to others. In all cases, the client is responsible for all transactions conducted through their account on the platform.
- The platform reserves the right to request legal documents to complete registration, such as a copy of the commercial registration, to verify the client’s eligibility and ensure valid registration on the platform. The platform also reserves the right to reject a registration request or cancel any existing account if any of the conditions outlined in this agreement are not met or for any other reason at its sole discretion.
Accuracy of Information Provided to Us
The client undertakes that all data and information provided to Qayd Platform are true, accurate, up-to-date, complete, and legal, and they are obligated to update their information if it changes. Qayd Platform is not responsible for any incorrect information provided by the client.
Third Parties
- Qayd Platform contracts with other third parties to support and operate the platform optimally. For example, we may contract with an electronic payment service provider to offer various payment methods through these contracted parties, and with hosting providers to store content, data, and the platform itself to ensure its continuous operation without interruption or loss of content or data.
- The client authorizes us to deal with contracted parties on their behalf and is bound by all contracts we enter into with these parties and any usage restrictions. The activities of these parties have become an integral part of the platform’s operation. If the client objects to contracting with these parties, it means they do not wish to fully benefit from the platform’s services.
- We may change contracted parties from time to time, for various reasons, and may also contract with new parties. In such cases, we will not seek your opinion or obtain your approval, as we will do so independently without needing to consult you.
- Third parties who are not contracted with us may assist us in providing Qayd Platform services by linking our services with their services for common purposes, such as owners of other websites and platforms like social media platforms. We may provide links to accounts on these platforms, and by clicking on them, the client will be redirected to those platforms. These parties follow their own policies, which may differ entirely or partially from the policies we follow on Qayd Therefore, you should review these policies before using the services of these third parties.
- The platform disclaims any legal responsibility for any direct or indirect errors, whether intentional or unintentional, made by third parties providing services through the platform. You use the services of these uncontracted parties at your own risk.
Client Obligations
- The Client agrees to use the platform solely for its intended purpose and not to exploit it for any illegal or unreliable transactions.
- The Client acknowledges that the platform does not guarantee the collection of payments from the consumer in any way and is not responsible for any delays or defaults in payment by the consumer. The Client alone bears the consequences of this.
- The Client agrees to take all legal actions available to ensure the recovery of their dues, without holding the platform responsible for this.
- The Client is obligated to maintain the confidentiality of consumer data and not to use it for any purpose outside the scope of services provided through the platform.
Subscription to Paid Client Packages
- To benefit from the platform’s services, the Client must subscribe to one of the available paid packages through the platform.
- The Client is obligated to pay the full subscription fee based on the selected package, whether the payment is monthly or annually. If the Client decides to cancel the subscription before its term ends, a cancellation fee may be imposed, determined based on the package type and remaining period.
- All fees are calculated in Saudi Riyals, and VAT is added according to applicable regulations. The Client must pay the dues upon invoicing using one of the approved payment methods on the platform.
- In the event of delayed payment or failure to renew the subscription on time, the platform reserves the right to suspend the service or permanently terminate the subscription without prior notice, and the Client will not be able to access any unpaid transactions.
Confidentiality of Information
The Client is obligated to maintain the confidentiality of all information, data, and documents they access for the purpose of benefiting from the platform’s services, as well as the information and data related to the platform and everything contained within it. The Client is obligated not to disclose any of this information to any competing party or other entity. The platform has the right to take legal action against the Client in case of a violation of this obligation.
Liability of the Platform
- The platform’s role is limited to providing an electronic linkage service between the Client and the consumer by offering a system to facilitate and organize credit sale transactions, allowing Clients to document sales and collect dues electronically. Therefore, the platform is not responsible for any products or services provided by the Client to the consumer.
- The platform is not responsible for any lawful activities performed by the Client in an unlawful or irregular manner, or for any unlawful or irregular activities carried out by the Client or provided to the consumer.
- The platform does not bear any claims arising from errors or negligence by the Client or consumer, whether directly or indirectly.
- The platform is not responsible for any claim, dispute, damage, or liability arising directly or indirectly from the Client.
- The platform may stop from time to time or permanently cease its operations, whether for voluntary or involuntary reasons. Therefore, you release us from any legal liability in the event of permanent or temporary cessation of the platform or any of its services.
- The Client acknowledges that no person or entity has the right to file any claim or demand or request compensation from the platform regarding the Client’s failure to fulfill any of their obligations stated in this agreement or in the event of negligence or mistakes in providing their services. The platform is a separate legal entity, and the Client alone is responsible for any breach of the agreement or applicable regulations.
Access Restriction to the Platform
If the platform determines that the Client has violated any of their obligations stated in this User Agreement or has violated regulations, rules, or directives, the platform, without needing to notify the Client, has the right to stop, suspend, or restrict the Client’s access to the platform or registration on it again. The Client has no right to claim compensation or hold the platform liable for this. The platform also has the right to take all necessary legal actions and inform the relevant authorities of any improper practices carried out by the Client if necessary.
Responsibility of the Client
The client undertakes full responsibility towards the consumer or any third party and agrees to protect Qayd platform from any damages that may occur due to their violation of the terms and conditions stated in this agreement or any applicable laws. The client also agrees to prevent any damage to Qayd platform resulting from claims, losses, damages, or fees caused by their misuse of the platform or violation of regulations and the user agreement.
Indemnities
- Qayd platform does not provide any form of insurance or compensation for its users, whether for damages arising from errors by the client or the consumer, or from negligence by the platform or its employees or those responsible for its operation.
- The client agrees to fully indemnify Qayd platform for any material or moral damages arising from illegal actions they perform through the platform or from their general use of the platform or failure to comply with any of its terms and conditions or applicable laws.
Intellectual Property
- Qayd platform respects the intellectual property rights of users on its platform, and users must respect the intellectual property rights of Qayd platform, which include, but are not limited to: the platform, words, logos, images, videos, sounds, and symbols related to or displayed on the platform.
- Qayd platform and any associated rights are protected under intellectual property laws and trademarks. They are the exclusive property of Qayd platform, and no one is permitted to infringe upon or use them without authorization from Qayd platform.
- If any of Qayd platform’s intellectual property rights are infringed or violated, the platform will take the necessary actions against these violations.
Legal Notices
- All legal notices required to be served in accordance with Saudi regulations will be sent through the contact methods provided by the client, which include phone calls, text messages, or emails.
- Each client acknowledges that they waive any legal rights to receive any written notices from the platform, and agrees that electronic or phone notifications shall have the same legal effect as written notices, and such notices are valid before all official entities.
Data Protection

Applicable Law
This agreement is governed by all relevant regulations and laws applicable in the Kingdom of Saudi Arabia.
Receiving Complaints
If you encounter any problems or wish to file a complaint, you can contact us through our Client service team.
General Provisions
- Qayd platform is the only entity authorized to interpret or clarify the provisions of this agreement. Therefore, you should contact us immediately if any of these terms are unclear to you.
- If any provision of this user agreement is canceled, the validity of the remaining provisions shall not be affected, and they will remain in effect until further notice.
- The platform reserves the right to modify this user agreement from time to time, and we will inform you of any updates or amendments by publishing the new agreement, indicating the date of the last modification or update. Therefore, please review this user agreement periodically for any changes.
- If this user agreement is translated into another language, the Arabic language shall be the governing language in all dealings.
